At NTCA we're dedicated to bringing quality education to our members and everyone in the compensation industry.  The topic for the June 13, 2019, luncheon is Trends and Developments in Executive Compensation.  

In 2018, numerous events impacted the complexion of the current U.S. executive compensation landscape. Share price volatility in the stock market increased with substantial losses in Q4, followed by a strong recovery in Q1 of 2019. Companies experienced tax changes from the Tax Cuts and Jobs Act (“Tax Act”), and were forced to adjust strategies and policies accordingly. 2018 also marked the inaugural year of the CEO pay ratio, requiring additional time and resources for proxy statement disclosure and driving increased external scrutiny of pay programs and pay equity. Recently, highly visible scandals caused reputational harm to large enterprises, leading Boards to reevaluate both the design and rigor of existing clawback policies.

This presentation is intended to provide an overview of the current environment and signal the direction in which companies are moving with respect to executive compensation and corporate governance practices in response to the events of 2018 and early 2019. It'll cover topics such as annual and long-term incentive plan designs, Say on Pay (“SOP”), the CEO pay ratio, anti-hedging policies, clawback provisions and more.

Jon Szabo, Lead Consultant at Meridian

Jon serves clients at both the Board and management level. Since 2004, Jon has consulted in all areas of executive compensation, including compensation philosophy, cash- and equity-based short- and long-term incentive design, severance and change-in-control arrangements, aligning pay-for-performance, compensation-related risk assessment, public disclosure, outside director compensation, corporate governance, bankruptcy, initial public offerings and compensation benchmarking.

He has experience working with companies in a variety of industries, including food/beverage, industrial manufacturing, consumer products, energy, healthcare, automotive and technology. Jon also has experience working with public and private multinational companies, including companies headquartered, domiciled or listed in Australia, Canada and Europe.

Jon has authored articles published by Corporate Board Member Magazine and has been quoted in publications by Financial Times’ Agenda Week and Equilar. Jon is a member of the North Texas Compensation Association, chairs its Executive Compensation Specialty Forum and has been a Certified Executive Compensation Professional (CECP) as designated by WorldatWork. Jon is also on the Board of Directors of the Dallas Chamber Symphony.
